To ensure a smooth incorporation process with the Companies Commission of Malaysia (SSM), every business owner must meet the following basic criteria:

Director Requirements: Minimum of at least one (1) director who is a resident or citizen of Malaysia.

Shareholder Requirements: Minimum of one (1) shareholder (the director and shareholder can be the same individual).

Age Limit: All directors and shareholders must be 18 years old and above.Bankruptcy Status: Directors must not be bankrupt or convicted of any offenses under the law.

Company Secretary: Compulsory appointment of a licensed Company Secretary within 30 days of incorporation.

Minimum Paid-up Capital: You can start your company registration with a minimum capital of just RM1.

To get started, you only need to provide our team with the following details:

Identification Copy: A clear copy of IC (for Malaysian citizens) or Passport (for foreign directors/shareholders).

Proposed Company Names: Provide at least three (3) alternative names for checking and approval by SSM.

Nature of Business: A brief summary or list of up to three (3) main business activities you plan to operate.

Residential Address: Current full residential addresses of all directors and shareholders.

Before proceeding with your new company incorporation process, please take note of the following statutory regulations:

Verification of Signatures: Directors and shareholders are highly encouraged to visit our office or schedule a verification meeting. Statutory incorporation documents must be signed personally to prevent corporate fraud or forgery of signatures.

Accuracy of Information: Any errors or negligence by the client regarding personal details—such as name spelling, Identity Card (IC) numbers, or Passport details—will lead to registration delays. Any additional costs arising from these rectification processes will be borne fully by the client.

Mandatory Info Updates: Any subsequent changes to the directors’ residential addresses or the company’s operating office must be reported to the Company Secretary immediately for SSM portal updates. Failure to submit updates on directors and shareholders to the Registrar is a legal offense.

Severe Penalties for False Statements: If any director, shareholder, or officer fails to comply with the Companies Act 2016, or submits false documentation, strict legal actions will be taken. Conviction may result in a fine not exceeding RM 3 Million, imprisonment for a term up to 10 years, or both.

Document Courier Costs: All postage and courier service charges for the delivery of physical statutory documents must be fully borne by the applicant.
