About Company Registration in Malaysia

The company secretary is a person appointed and licensed by the Companies Commission of Malaysia (SSM) formerly known as the Registrar of Companies and the company secretary acts to manage all matters relating to the establishment of the company. This allows your company legally registered and properly in accordance with the provisions of the Companies Act 2016 and are under the supervision and control of the Companies Commission of Malaysia (CCM).

It should be clear that the company’s secretary’s license is issued on individual capacity rather than in the name of the firm, as understood by the public. Every company incorporated under the Companies Commission of Malaysia is established on the company’s secretary’s license.

Companies Commission of Malaysia (CCM)

The Companies Commission of Malaysia acts as a company registrar and is responsible for accepting all company registration requests from licensed company secretaries and also accepts all forms of submission of statutory documents and acts to file documents submitted by the company secretary to be updated by the company registrar.

The Companies Commission of Malaysia only acts as a company registrar, while the company secretary acts on the registration of companies and conducts secretarial duties in accordance with the provisions of the Companies Act 2016. For your information, the success or failure of an organization or company depends on many factors. The cause of this failure is that the company fails to carry out its duties and functions in accordance with the guidelines as stipulated in the Act.

Company Secretary

Every company shall have one or more company secretaries, each of whom shall be a natural person of full age. With effect from 10th October 2016, NO PERSON shall act as a company secretary to a company. With more complex developments in company legislation and the creation of business collaborations to result in larger groups of companies, the role of a company secretary has evolved from just a normal employee to one who is far more important in any company.

A company secretary of today is a company officer who is endorsed with heavier responsibilities and a greater power, duties which demand for ethical behavior from company secretaries at all times.

About Directors

“Directors” includes any person occupying the position of director of a corporation by whatever name called and includes a person in accordance with whose directions or instructions the majority of directors of a corporation are accustomed to act and an alternate or substitute director.A limited and Private Limited company in Malaysia must have at least one directors at all times.

They must be a natural persons (living persons, not organizations) who must have their principal or only place of residence within Malaysia.

Companies Act 2016

Accordance with the provisions of the Companies Act 2016, the appointment of company secretaries, auditors and other pertinent mandatory requirements should be prioritized such as submission of audited accounts and annual returns with the Companies Commission of Malaysia (SSM) on yearly basis.
