The company secretary is a person appointed and licensed by the Companies Commission of Malaysia (SSM) formerly known as the Registrar of Companies and the company secretary acts to manage all matters relating to the establishment of the company. This allows your company legally registered and properly in accordance with the provisions of the Companies Act 2016 and are under the supervision and control of the Companies Commission of Malaysia (CCM).
It should be clear that the company’s secretary’s license is issued on individual capacity rather than in the name of the firm, as understood by the public. Every company incorporated under the Companies Commission of Malaysia is established on the company’s secretary’s license.
The Companies Commission of Malaysia acts as a registrar, approving company registrations from licensed secretaries and processing statutory documents. While it focuses on registration, company secretaries handle registration and secretarial duties under the Companies Act of 2016. Success or failure of a company depends on adherence to the Act's guidelines.
Every company shall have one or more company secretaries, each of whom shall be a natural person of full age. With effect from 10th October 2016, NO PERSON shall act as a company secretary to a company. With more complex developments in company legislation and the creation of business collaborations to result in larger groups of companies, the role of a company secretary has evolved from just a normal employee to one who is far more important in any company.
