Information

To ensure a compliant and smooth corporate acquisition in Malaysia, all incoming directors and shareholders must meet the following mandatory requirements:

MINIMUM PERSONNEL CRITERIA

At least 1 director and 1 shareholder are required to purchase or establish a company in Malaysia. You must also formally appoint at least 1 licensed Company Secretary.

LEGAL & CRIMINAL CLEARANCE

Directors and shareholders must have no prior criminal records within or outside Malaysia. Incoming directors must not be an undischarged bankrupt.

RESIDENCY & AGE REQUIREMENTS

Every director must be at least 18 years old. Both the directors and the appointed Company Secretary must maintain their principal or sole place of residence within Malaysia.

MANDATORY IDENTIFICATION DOCUMENTS

Provide clear copies of Identity Cards (NRIC) for all Malaysian citizens, or valid passport copies if the incoming directors or shareholders are foreign nationals.

CONTACT & OPERATIONAL DETAILS

Submit the latest residential address in Malaysia, official mobile numbers, active email addresses, and the primary business operational address for all directors and shareholders.

BENEFICIAL OWNERSHIP DECLARATION

IMPORTANT STATUTORY NOTES

STATUTORY DECLARATION FORM

An official Statutory Declaration (Section 201) must be duly signed by all incoming directors and shareholders before the company registration transfer can be executed.

REGISTERED OFFICE MAINTENANCE

The company must maintain a valid registered corporate office address in Malaysia where all statutory books, minutes files, share registers, and the official common seal are legally kept.

COMPANY NAME DISPLAY

The official name of the company must appear in legible Romanized letters, alongside its unique SSM company registration number, on its official seal, letterheads, and corporate documents.

REGISTRY RECORD UPDATES

Directors and shareholders are legally required to notify the Company Secretary immediately of any changes to personal information to allow formal updates to the Companies Commission of Malaysia (SSM).

LICENSED AUDITOR APPOINTMENT

The incorporated company must formally appoint an approved, licensed corporate auditor in Malaysia to perform statutory auditing duties for the company accounts

Opening Bank Account Procedures

To open a corporate current bank account for your newly acquired ready-made company, please follow these standardized statutory procedures:

APPOINTMENT & DOCUMENT RETURN

The official appointment of new directors and the transfer of shares, along with all related board resolutions, will be fully managed by our team. All signed documents must be returned to our office via courier or email for official lodgment with the Companies Commission of Malaysia (SSM).

SECRETARIAL DOCUMENT PREPARATION

Our Company Secretary will immediately prepare and certify all the required statutory documents to enable your new company board to initiate corporate bank account operations.

COURIER & COPIES DISPATCH

All official company statutory files will be delivered to you via post or email immediately after we receive your signed documents and the full payment clearance. Original documents will be dispatched accordingly so you can start business operations without delay.

MANDATORY STATUTORY DOCUMENTS FOR BANK SUBMISSION

 The following certified true copies (CTC) of statutory documents are strictly required by banks in Malaysia to process a corporate account opening:

• Company Constitution (If officially adopted by the company)

• Section 14 (The official application form for company registration)

• Section 15 (The formal Notice of Registration / incorporation birth certificate)

• Section 201 (Statutory Declaration signed by directors before corporate appointment)

• Section 17 (The official Certificate of Incorporation for private limited entities)

• Section 58 & 236(2) (Official notification of changes and appointment of the first Company Secretary)

• Bank Board Resolution (A formal directors’ resolution signed and authorized to open the current account)

• Original Identification Documents (NRIC for Malaysian citizens or valid Passports for foreign directors)Note: All the above corporate documents must be officially certified true copies (CTC) by our licensed Company Secretary.

IMPORTANT BANK IN-PERSON VERIFICATION

All appointed directors and authorized account signatories must be physically present at the chosen bank branch during the application process. You must bring your original NRIC or Passport for identity verification by the bank officer.

* OFFICIAL COMPANY RUBBER STAMP
Directors must bring along a custom-made official company rubber stamp. This stamp must prominently display the exact registered company name and its unique SSM company registration number for formal banking document authentication.
